1. Agreement & Acceptance

By booking a session with Enache Georgian, operating under the brand name MirageLens (“Photographer”), the client (“Client”) agrees to these Terms & Conditions in their entirety. These terms form a binding agreement between the Photographer and the Client effective from the date the booking request is submitted through our website or confirmed via email. All references to “MirageLens” in this document refer to Enache Georgian personally and his sole proprietorship operating under the MirageLens brand.

2. Scope of Services

MirageLens provides professional photography services including, but not limited to, real estate photography, automotive photography, wedding and event coverage, drone/aerial imaging, portrait sessions, baby & family photography, and product photography. The specific scope of each session — including deliverables, number of edited images, and session duration — is outlined in the service description selected at the time of booking. Any services beyond the original scope require written agreement and may incur additional fees.

3. Booking & Scheduling

All bookings are subject to availability and confirmation by MirageLens. A booking request does not guarantee a reserved date until confirmed by the Photographer and a deposit has been received. The Photographer will make reasonable efforts to confirm or decline all booking requests within 24 hours. Session times and locations should be finalized at least 48 hours before the scheduled date.

4. Pricing & Payment

  • Deposit: A non-refundable deposit of 50% of the total session fee is required to secure the booking. The deposit invoice will be sent upon booking confirmation.
  • Balance: The remaining balance is due no later than 7 days after the session date, or upon gallery delivery — whichever comes first.
  • Late payment: Invoices unpaid after 14 days past the due date may incur a late fee of $25 or 5% of the outstanding balance, whichever is greater. Gallery delivery may be withheld until full payment is received.
  • Travel fees: Locations outside a 30-mile radius from the Photographer's base may incur a travel surcharge.

5. Cancellation & Rescheduling

  • More than 72 hours' notice: The session may be rescheduled at no additional charge, subject to availability. The deposit is transferable to the new date but remains non-refundable.
  • 24–72 hours' notice: A rescheduling fee of 25% of the session total applies. The deposit is forfeited if the Client chooses to cancel outright.
  • Less than 24 hours' notice or no-show: The full session fee is due and no refund will be issued.
  • Photographer cancellation: If MirageLens must cancel due to illness, emergency, or equipment failure, the Photographer will make reasonable efforts to arrange a substitute photographer or reschedule. If neither is possible, all payments will be refunded in full.

6. Force Majeure & Weather

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, severe weather warnings, pandemics, government restrictions, or civil unrest. In such events, the session will be rescheduled at no additional cost. Ordinary inclement weather (light rain, overcast skies) does not constitute force majeure; outdoor shoots may proceed or be relocated at the Photographer's professional discretion.

7. Copyright & Image Usage

  • Ownership: All photographs, including RAW files, negatives, and edited images, are the intellectual property of Enache Georgian (MirageLens) and are protected under U.S. copyright law.
  • Client license: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the delivered images for personal, non-commercial purposes (e.g., social media, prints for personal display). Commercial usage, including advertising, resale, or redistribution, requires a separate commercial license agreement.
  • Real estate & product photography: Clients who book real estate, automotive, or product photography sessions are granted a limited commercial license to use the delivered images for listing, marketing, and promotional purposes related to the photographed subject only.
  • Portfolio use: MirageLens retains the right to use any photographs for portfolio display, marketing, social media, competitions, and promotional purposes unless the Client explicitly requests otherwise in writing at the time of booking.
  • Credit: When sharing images publicly, the Client agrees to credit MirageLens where reasonably possible (e.g., tagging on social media).
  • AI & machine learning: The Client shall not use, upload, or make available any delivered images for the purpose of training, developing, or improving any artificial intelligence, machine learning, or generative AI system. This includes uploading images to AI image generation platforms, facial recognition systems, or datasets used for AI model training.

8. Image Editing & Delivery

  • Editing style: MirageLens applies professional post-processing consistent with the Photographer's artistic style and portfolio. The Client acknowledges that editing style is at the Photographer's creative discretion.
  • Revisions: Up to 3 minor revision requests are included per session. Additional edits or extensive retouching beyond standard post-processing may be available at an additional hourly rate.
  • Turnaround: Edited images are typically delivered within 24–48 hours for commercial sessions (real estate, automotive, product) and within 7–14 business days for portrait, wedding, and event sessions. Rush delivery is available for an additional fee.
  • File retention: MirageLens will retain image files for a period of 180 days following delivery. After this period, files may be permanently deleted. The Client is responsible for backing up their delivered images.
  • Third-party editing: The Client may not apply additional filters, crops, or edits to delivered images in a manner that materially alters the Photographer's work and then attribute the resulting image to MirageLens.

9. Client Responsibilities

  • The Client is responsible for obtaining necessary access and permissions for the shoot location (e.g., property access for real estate, venue permission for events).
  • For sessions involving minors, the booking Client must be the parent or legal guardian, or have written authorization from the parent/guardian.
  • The Client must communicate any specific shot requests, important details, or restrictions prior to the session.
  • The Client is expected to arrive on time. Sessions that start late due to Client delay will still end at the originally scheduled time.

10. Drone & Aerial Photography

Drone/aerial photography is subject to FAA regulations and local airspace restrictions. MirageLens is FAA Part 107 certified. The Photographer reserves the right to decline or abort drone operations if conditions are deemed unsafe (high winds, restricted airspace, proximity to airports, or other safety concerns). If drone flight cannot be performed at the scheduled session, a partial refund for the aerial component or a reschedule will be offered at no additional charge.

11. Model Release & Consent

By booking a portrait, family, wedding, or event session, the Client grants MirageLens permission to use the resulting images for promotional purposes (portfolio, social media, website, print marketing) unless the Client submits a written opt-out request at the time of booking. A separate model release form may be required for commercial or advertising use of portraits.

12. Limitation of Liability

  • MirageLens carries professional liability insurance. However, in no event shall MirageLens be liable for any indirect, incidental, or consequential damages arising from the services.
  • In the unlikely event of equipment failure, memory card corruption, or other technical issues resulting in partial or total loss of images, MirageLens's liability is limited to a full refund of the session fee paid. MirageLens is not liable for any damages beyond the contract value.
  • The Photographer is not responsible for unflattering photographs due to conditions outside the Photographer's control (e.g., harsh lighting at Client's chosen time/location, subject movement, or Client-directed compositions).
  • The Client assumes responsibility for the safety and integrity of personal property at the shoot location. MirageLens is not liable for damage to Client property during sessions.

13. Dispute Resolution

Any disputes arising from these terms or the services provided shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in the state of Texas under the rules of the American Arbitration Association. Each party shall bear its own costs and attorney fees unless the arbitrator determines otherwise. Total liability in any dispute shall not exceed the total fees paid under the applicable booking.

14. Confidentiality

MirageLens will treat all Client information (contact details, locations, personal details shared during sessions) as confidential and will not share it with third parties except as required to perform the contracted services (e.g., payment processing via Stripe). The Client's email address will only be used for session-related communications unless the Client opts in to marketing updates.

15. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Photographer (Enache Georgian / MirageLens), his agents, associates, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from: (a) the Client's breach of this agreement; (b) personal injury or property damage occurring during the session not caused by the Photographer's gross negligence; (c) the Client's use of delivered images in violation of this agreement; or (d) claims by third parties related to subjects, properties, or products photographed at the Client's direction.

16. Independent Contractor

Enache Georgian (MirageLens) operates as an independent contractor and sole proprietor, and is not an employee, partner, or agent of the Client. The Photographer is responsible for his own taxes, insurance, and business expenses. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture. The Photographer may assign or subcontract services to a qualified associate photographer as needed.

17. Governing Law & Severability

  • Governing law: This agreement shall be governed by and construed in accordance with the laws of the State of Texas without regard to its conflict of law provisions.
  • Severability: If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
  • Entire agreement: These Terms & Conditions, together with any booking confirmation, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings.
  • Amendments: No modification to this agreement shall be valid unless made in writing and agreed upon by both parties.

18. Modifications to These Terms

MirageLens reserves the right to update these Terms & Conditions at any time. Updated terms will be posted on this page with a revised “Last updated” date. Bookings confirmed prior to any update will be governed by the terms in effect at the time of booking confirmation.
